This Direct Seller Agreement (“Agreement”) is executed between the Independent Distributor/Direct Seller (“Distributor”) and Nextera World (OPC) Private Limited (“Company”), which operates the direct selling platform www.growtherakart.com

1. Definitions

For the purpose of this Agreement, “Direct Seller Agreement” includes the following, along with any amendments, modifications, or re-enactments thereof: Distributor Application Form

• Business Plan
• Code of Ethics
• 30-Day Return & Refund Policy
• License Transfer Policy
• Privacy & Grievance Policies
• Any additional officially issued policy documents

2. Age Requirement

The Distributor must be 18 years or older and must submit valid and verifiable KYC documents.

Nature of Distributorship / Direct Selling Activities

• The Distributor voluntarily purchases and sells GrowtheraKart products.
• All earnings are based solely on the Distributor’s individual performance and product sales.
• No fixed income, guaranteed earnings, or employment benefits are offered or implied.

4. Duration of Agreement

This Agreement remains valid unless terminated by the Distributor or the Company due to policy violations or as permitted under this Agreement.

5. Return & Refund Policy

Products may be returned within 30 days from the invoice date, strictly as per the Company’s official Return & Refund Policy.

6. Distributorship Transfer

In the event of the Distributor’s death, the Distributor ID may be transferred to a registered nominee (blood relative or spouse) subject to verification and compliance with Company guidelines.

7. Payments & Banking Rules

• All payments shall be made via NEFT/online banking to the Distributor’s registered bank account.
• Cash transactions are strictly prohibited.
• The Distributor is responsible for paying applicable taxes, including TDS as per law.

8. Distributor Obligations

The Distributor shall:

• Comply with all applicable laws and Company policies.
• Not sell any product above its printed MRP.
• Maintain honesty with customers, prospects, and team members.

8.1 Prohibited Conduct

The Distributor must not:

• Mislead customers about products, earnings, or business plans.
• Share unauthorized or confidential Company content.
• Share login credentials or account access.
• Engage in unethical, fraudulent, or illegal activities.
• Create or circulate fake income claims, edited screenshots, or manipulated proofs.

9. Termination of Agreement

The Company may terminate the Agreement immediately in cases of:

• Policy violations
• Illegal activity
• Fake or misleading claims
• Misuse of Company systems or documents

Upon termination:

• All benefits, commissions, and access rights shall cease immediately.
• If products are returned within 30 days and refund is processed, the Agreement will be considered terminated.

10. Relationship Between Parties

• The Distributor is an Independent Contractor, not an employee, representative, or agent of the Company.
• No employer–employee relationship is created under this Agreement.

11. Dispute Resolution

• Complaints must be submitted within 30 days of the incident.
• The Company will respond within 30 days of receiving the complaint.
• All disputes shall be subject to the jurisdiction specified by the Company.

12. Amendments & Modifications

• The Company reserves the right to amend, modify, or update any policy, plan, or term without prior notice.
• All updates will be published on www.growtherakart.com, and continued participation constitutes acceptance.

13. Distributor Declaration

The Distributor declares that:

• They are above 18 years of age and have understood the Agreement in their preferred language.
• They are joining as a Direct Seller voluntarily and of their own free will.
• They accept responsibility for any business loss incurred.
• This Agreement does not create any employment relationship.
• They are responsible for applicable taxes and accept TDS deductions as per law.
• They acknowledge that all Company policies are available on the official website and may be revised periodically.

Additional Honesty & Discipline Rules

1. Honest Work Requirement : We commit to working with integrity, providing accurate information, and ensuring that customers are never misled in any manner.
2. Professional Behaviour : We will maintain respect and dignity at all times, avoid any rude or abusive behavior, and conduct ourselves in a way that consistently protects the GrowtheraKart brand.
3. Social Media Ethics :We will not use or share fake incomes, edited screenshots, or manipulated content. Only genuine, verifiable information may be communicated.
4. No Misuse of Policies : We will not misuse return/refund policies, grievance systems, or manipulate any documents.
5. Actions for Violations : Actions for violations may include:
- Warning
- Suspension
- Permanent termination
- Legal action (if required)
